New policy with the Companies House on the ordering of certified copies and certificates.

From the 9th November 2016, customers will not be able to order certificate with information on the Company statement of capital, shareholders or shareholding, due to a changes brought by the Small Business Enterprise and Employment Act 2015.

Instead, the following types of certified copies and certificates are available to order with the Companies House:

  • a certificate of incorporation with certified fact; and
  • a certified copy of a document held on the register such as the annual PSC statement of the Company

Certified facts of the Company:

On request the following details can be included as certified facts:

  • Name of the director(s) and details such as date of birth and nationality
  • Name of the Secretary
  • Registered office address of the Company
  • The company’s objects; and
  • Good standing statement

The good standing wording states that a company has been in continuous, unbroken existence since its incorporation and that no action is currently being taken to strike the company off the register.

Therefore the Registrar can only issue a certificate with a good standing statement if the company is up to date with it’s filings and one of the following applies:

  • it’s a private company (LTD) with at least one director who is a natural person; or
  • it’s a public limited company with a secretary and at least two directors (one of which is a natural person)
