Transfer of Shares & Confirmation Statement 

This service is for customers who want to transfer share(s) from one shareholder to another person and require the transfer to be registered online at Companies House with a Confirmation Statement filing. Completed documents will include the stock transfer form and board minute resolution. 

Issue Of Shares & Confirmation Statement 

This service is for customers who want to issue new shares in the company and require the shares to be allotted to new/existing shareholder(s) to be documented and registered online at Companies House with a confirmation statement filing. Completed documents will include the preparation of board minute resolution.

Change of Share Classes & Confirmation Statement 

This service is for customers who want to create different classes of shares to differentiate the voting rights and/or distribution of dividends held by the shareholders such as Class A and B; or For shareholdings who attach different right(s) to dividend and company capital such as preference shares or redeemable shares.

Cancellation of shares & Conformation Statement 

This service is for customers who want to decrease the number of shares and/or share capital. The cancellation of shares will be registered online at Companies House with a Confirmation Statement filing.

How does the service work?

You'll receive an automated email from us requesting details of the changes to shareholding. Simply respond to the email with the required details and we will prepare the relevant forms and resolutions.

How long will it take for my documents to be ready?

2-3 working days, provided we have all the necessary information.

What is stamp duty?

For shares valued over £1,000 or equivalent, the stock transfer form is required to be stamped by HM Revenue and Customs (HMRC). The current rate of stamp duty is 0.5% of the share amount, rounded to the nearest £5. For example, to transfer shares worth £1,600, you will need to pay 0.5% on that total, which is £8, this is then rounded up to £10, so a £10 stamp duty fee is payable.

I didn’t form my company with you, can I still purchase the service?

Absolutely.

How many shares can be issued at any one time?

There is no maximum on the number of shares that can be issued.

What information do I need to provide to transfer shares?

We will need the following for each shareholder:
– The name and address of the person who is transferring the shares
– The name and address of the person who is receiving the shares
– The total amount of shares being transferred

What information do I need to provide to issue shares?

– The number of new shares to be issued
– The name and address of the person who is receiving the new shares
– Are the new shares paid or unpaid?
